The Abra Group, parent company of Avianca and Gol, has moved toward acquiring Sky Airline through a share swap agreement. This acquisition aims to challenge the market dominance of LATAM Airlines Group in South America, specifically within the Chilean and Peruvian low-cost segments.

Initially, Peru’s antitrust regulator, Indecopi, granted conditional approval for the deal. The regulator identified potential competition risks regarding ‘non-compete’ and ‘non-solicitation’ clauses in the transaction documents, requiring Abra Group to limit the scope and duration of these provisions to ensure they remain accessory restrictions. 

Following these regulatory developments, an agreement was signed where Sky Airline shareholders will receive equity in Abra Group. To maintain operational autonomy and minimize impacts on staff and customers, Sky Airline’s legal ownership will be transferred to a newly established, independent holding structure.
