Quantum eMotion Corp. has entered an agreement to acquire Plurilock Security Inc. for approximately C$33.8 million. The transaction is structured as a court-approved plan of arrangement involving a combination of cash and shares, specifically C$0.084 in cash and 0.0763 Quantum eMotion shares per Plurilock share.

The merger is intended to combine Plurilock’s AI-focused cybersecurity and identity technology with Quantum eMotion’s quantum random number generation and cryptographic tools. 

As the process moves forward, Quantum eMotion is approaching a shareholder vote regarding the acquisition. To support the transaction, the company has committed to a bridge financing facility of up to C$2,000,000.
