The U.S. Securities and Exchange Commission (SEC) concluded its public comment period for the ‘Regulation Crypto Assets’ (Reg CA) proposal. Introduced in August 2026, the framework seeks to establish structured registration exemptions and a conditional safe harbor, Rule 400, to allow tokens to transition away from being classified as investment contracts once essential managerial efforts have ceased.

Proposed exemptions include a startup exemption for raising up to $5 million over four years and a tiered fundraising exemption for up to $75 million within 12 months, subject to financial reporting.

Industry feedback has been varied. Ripple Labs expressed support, arguing that ‘it is the investment contract, not the crypto asset itself, that is the security’ and advocating for holistic rules to replace current enforcement methods. Other entities, such as Bitwise Asset Management and the Hyperliquid Policy Center, requested refinements regarding secondary market trading, token airdrops, and clearer standards for asset evaluation.
