AAR Corp. to acquire majority stake in MRO Holdings

U.S.-based AAR Corp. has agreed to acquire a 65% majority stake in MRO Holdings, the parent company of Aeroman, in a deal with an implicit enterprise value of approximately $4 billion. The transaction is expected to close in the first half of 2027, subject to regulatory approvals.

Under the agreement, current shareholders, including MRO Holdings President Roberto Kriete, will retain a 35% stake. AAR Corp. will also have the option to acquire the remaining interest at a later date. The existing management teams at Aeroman and its other divisions will remain in place.

The deal includes a multi-year investment plan to expand Aeroman’s operations in El Salvador. This plan focuses on increasing maintenance capacity, modernizing facilities and equipment, introducing new technical capabilities, and strengthening training programs for engineers and technicians.

MRO Holdings currently employs approximately 10,000 professionals across operations in El Salvador, Mexico, the United States, and Colombia. The acquisition aims to integrate the group into a broader international platform for aeronautical parts, engineering, distribution, and technology.
