AbbVie to Acquire Apogee Therapeutics for $10.9 Billion

AbbVie announced a deal to purchase clinical‑stage biotech Apogee Therapeutics for $10.9 billion in cash, offering $135.11 per share—a 49 % premium over Apogee’s last closing price. The acquisition, expected to close in the third quarter subject to shareholder and regulatory approval, adds Apogee’s pipeline of experimental drugs targeting dermatologic, respiratory and other immunological diseases, including its lead candidate zumilokibart for atopic dermatitis. AbbVie said the deal will broaden its immunology portfolio and reduce reliance on its blockbuster drugs Skyrizi and Rinvoq, which together generated $6.6 billion in net revenue in the first quarter. The financial contribution of the acquisition is projected to materialize in earnings only after 2032.
