ADQ clears conditions for $2.13 billion AD Ports Group takeover
L’IMAD, a sovereign investor for the Government of Abu Dhabi, has cleared the key conditions for its voluntary cash offer to acquire the remaining shares of AD Ports Group. The offer is being executed through ADQ, a wholly owned subsidiary of L’IMAD that already holds a 75.42 percent stake in the transport and logistics company.
The tender offer aims to acquire up to 1,251,248,000 shares, representing approximately 24.58 percent of the company’s issued share capital. At a price of AED 6.25 ($1.70) per share, the maximum cash consideration for the remaining stake is approximately AED 7.82 billion ($2.13 billion). This price represents a significant premium over previous trading averages.
All conditions have been satisfied except for customary notifications to the UAE Capital Market Authority and the Abu Dhabi Securities Exchange. The offer remains open until September 15, 2026, with the settlement and transfer of shares expected to be completed no later than October 9, 2026.
