Adra GYO to merge with subsidiary Akçay Otelcilik

Adra Gayrimenkul Yatırım Ortaklığı A. Ş. (ADGYO) has announced its decision to merge with its 100% subsidiary, Akçay Otelcilik Turizm ve İşletme A. Ş. The merger will be conducted via an acquisition through a simplified procedure, resulting in Akçay Otelcilik being integrated into Adra GYO with all its assets and liabilities, followed by the subsidiary's liquidation without dissolution.

The transaction will be based on financial statements dated June 30, 2026. Adra GYO stated that there will be no increase or decrease in its current capital of 545,854,434.99 TL. Due to the simplified nature of the merger, the company noted that no merger report, independent audit report, or expert opinion will be prepared, and no appraisal rights will be granted to shareholders. The company has applied to the Capital Markets Board (SPK) for the necessary approvals.
