YDUQS and Afya sign merger agreement to create Brazilian education giant

YDUQS and Afya have signed a definitive merger agreement to combine their operations, creating a major player in the Brazilian higher education market. The deal is structured as a share exchange where Afya shareholders will receive 6.408347 YDUQS shares for each Afya share held. As a result of the transaction, Afya shareholders will control 69% of the combined company, while YDUQS shareholders will hold 31%. Bertelsmann, the current controller of Afya, will become the largest shareholder with a 47.4% stake.

The merger will result in the incorporation of Afya into YDUQS, leading to Afya's delisting from the Nasdaq. The combined entity will remain listed on the B3 exchange in Brazil. The companies expect to generate synergies estimated between R$ 2 billion and R$ 2.2 billion. Additionally, YDUQS has committed to distributing at least R$ 750 million in dividends to its shareholders between the signing and the closing of the transaction.

The operation is subject to customary closing conditions, including approval from shareholders of both companies and antitrust clearance from Brazilian regulatory authorities.
