AMC CEO challenges Robinhood over tokenized stock offerings

AMC Entertainment CEO Adam Aron has launched a public dispute against Robinhood over the platform’s offering of tokenized AMC stock. Aron characterized the unregistered blockchain-based products as “contemptible, outrageous, disgusting, detestable, inexcusable, vile,” stating that AMC has no affiliation with the tokens and has instructed outside securities counsel to investigate the matter.

Robinhood has rejected demands to halt the trading of these tokens. The company’s leadership, including CEO Vlad Tenev and Chief Legal Officer Dan Gallagher, maintains that the products are legitimate. Robinhood’s documentation clarifies that the Stock Tokens are actually tokenized debt securities issued by an offshore affiliate, Robinhood Assets (Jersey) Limited. These instruments are designed to provide economic exposure to the underlying stock price without granting holders any legal ownership, voting rights, or beneficial interest in AMC.

The dispute highlights a growing tension in the intersection of traditional finance and blockchain technology. Aron argued that the synthetic market could interfere with AMC’s capital-raising capabilities and mislead investors regarding actual share ownership. Robinhood contends that the tokens expand international access to U.S. equities and are structured to comply with specific regulatory frameworks, such as Regulation S, which allows for offerings outside the United States. The tokens are reportedly unavailable to U.S., Canadian, UK, and Swiss investors.
