Americanas fraud probe exposes pressure for results and board involvement

Former digital platform chief Marcio Cruz Meirelles told Brazil's Federal Public Ministry that Americanas cultivated a culture that prized results above all, using financial performance as a "currency" to approve projects and gain benefits. He said the relentless focus on targets created excessive pressure on staff and may have contributed to the accounting scheme under investigation by Operation Disclosure, which authorities estimate moved about R$ 54 billion since 2009.

Newly appointed CFO André Covre, after reviewing the company's books in early January 2023, interrupted a meeting and declared, "This is fraud," warning colleagues that they would be prosecuted and imprisoned. His reaction prompted Americanas to disclose the accounting inconsistencies to the market, triggering a federal investigation into possible board knowledge. Prosecutors have searched the homes of major shareholders—including Jorge Paulo Lemann, Marcel Telles and Carlos Alberto Sicupira—but say there is no evidence they were aware of the irregularities.
