ANA Holdings to acquire Regional Plus Wings as subsidiary
ANA Holdings has signed a basic agreement to acquire Regional Plus Wings (RPW) as a wholly owned subsidiary through a share exchange. RPW is the joint holding company for AIRDO, based in Hokkaido, and Solaseed Air, which operates in Kyushu and Okinawa.
The acquisition aims to strengthen the domestic passenger business and improve profit structures amid rising costs for fuel and labor, as well as the need for digital transformation and environmental investments. The move follows the relaxation of regulations by the Ministry of Land, Infrastructure, Transport and Tourism, which previously restricted major airlines from investing in specific existing carriers.
While the AIRDO and Solaseed Air brands will be maintained for the time being, the companies plan to integrate functions such as business planning, revenue management, procurement, and facility maintenance. In the medium term, ANA Holdings is considering a full integration into the ANA brand to maximize group synergies.
The transaction is expected to become effective on April 1, 2027, following a final binding agreement in late December 2026 and shareholder approval in February 2027.
