Anthropic seeks founder voting majority ahead of IPO
AI developer Anthropic is seeking shareholder approval for a new corporate structure designed to maintain founder control ahead of its anticipated initial public offering (IPO). According to reports from The Information, CEO Dario Amodei and his six co-founders aim to hold a combined 50.1 percent of voting rights.
The proposed governance model is reportedly modeled after the structure used by Palantir. Under this plan, founders would receive a special class of shares to secure control over most decisions, provided at least three of the seven founders maintain a minimum shareholding. The plan also includes provisions for employees to receive a specific class of shares that would grant them decisive voting power on certain matters.
Anthropic, the creator of the Claude chatbot, is preparing for what is expected to be one of the largest IPOs in history. The timing of the offering may be shifted to after the US congressional elections in November. In a May funding round, the company raised 65 billion dollars, reaching a valuation of 965 billion dollars.
