Argentina advances corporate law overhaul, adding DAO framework and easing foreign company rules

The Argentine government sent a bill to the Senate to amend the 1972 Law of Societies, aiming to modernise the corporate framework. The proposal, prepared by the Legal and Technical Secretariat and supported by Economy Minister Federico Sturzenegger, would give societies greater autonomy, allow digital registration of documents, and introduce Decentralised Autonomous Organisations (DAOs) that operate on blockchain with full legal personality. It also expands the range of activities societies may pursue and permits choice of foreign law for dispute resolution.

Separately, the Inspección General de Justicia (IGJ) issued Resolution General No 4/2026, simplifying the registration process for foreign‑origin companies. The new rules reduce paperwork, accept digital signatures, allow joint filing of foreign and local entities, and relax capital and accounting requirements while maintaining safeguards against high‑risk jurisdictions. Both measures form part of a broader effort to streamline Argentina’s corporate environment and attract investment.
