Argentina advances sweeping corporate law overhaul with digital, DAO features

The Argentine government has sent a comprehensive reform of the General Law of Companies to Congress. Presented by Minister of Deregulation and State Transformation Federico Sturzenegger, the bill turns the current statutory rules into supplementary provisions, giving companies greater autonomy. Key changes include broadening the permissible corporate purpose, allowing firms to engage in any lawful activity unless a specific purpose is stated. The reform mandates full digitalization of corporate procedures: electronic domiciles, digital registries, remote assemblies and electronic signatures for company formation. It also creates two novel legal forms – the “Automated Society,” which operates through algorithms or AI without regular staff, and the “Decentralized Autonomous Organization” (DAO) with tokenized participation and blockchain‑based records. Additional provisions introduce arbitration and the application of foreign law in internal disputes, convertible investment instruments, automatic renewal of company duration, and simplified reorganisation processes.
