Aveanna Healthcare prices 15 million share secondary offering

Aveanna Healthcare Holdings Inc. has announced the pricing of a secondary offering of its common stock. The offering consists of 15,000,000 shares priced at $11.75 per share.

The sale is being conducted by certain selling stockholders, including affiliates of J. H. Whitney Equity Partners VII, LLC, as well as certain current and former directors and officers of the company. The underwriters have been granted a 30-day option to purchase up to an additional 2,250,000 shares.

All net proceeds from the offering will be received by the selling stockholders; Aveanna Healthcare Holdings Inc. will not receive any proceeds from this sale. The offering is expected to settle on August 24, 2026, subject to customary closing conditions. RBC Capital Markets is serving as the sole book-running manager.
