Axon Enterprise prices $1 billion convertible notes offering
Axon Enterprise, Inc. has priced a $1.0 billion offering of 0% convertible senior notes due in 2031. The company expects to generate approximately $986.0 million in net proceeds, which could increase to $1.13 billion if underwriters exercise their over-allotment option. Axon plans to use roughly $100 million of the proceeds to cover the costs of capped call transactions, with the remainder designated for general corporate purposes, including growth initiatives and potential acquisitions or investments in new technologies and product lines.
Following the announcement of the bond placement, Axon's stock experienced significant volatility. The shares fell 9.81% to $442.08 on Tuesday, but saw a technical recovery on Wednesday, rising 6.0% to close at $468.42 on the Nasdaq. Despite the initial decline linked to concerns over capital structure and potential dilution, analysts from Citizens and Needham maintained positive outlooks, setting price targets between $700 and $750.
