UniCredit advances bid to acquire Commerzbank as regulators review

UniCredit currently holds a 47.59% economic interest in Commerzbank and is seeking to increase its stake to near‑50% with a takeover valued at about €44 billion. Germany’s banking regulator BaFin has authorised UniCredit to exceed a 30% holding, while the European Central Bank has opened a formal 60‑working‑day review of the offer, which can be extended by another 20 days. The deal still requires antitrust clearance from the European Commission, the U.S. Federal Reserve and the Polish regulator.

Commerzbank chief executive Bettina Orlopp said the bank does not expect any short‑term changes to its governance and stressed the need for a constructive dialogue with UniCredit. The German government, which owns roughly 12% of Commerzbank, is monitoring the process and has hinted at possible intervention. Commerzbank reported a 7% rise in revenue to €6.5 billion and a return on tangible equity of 12.6%, and it plans a share‑buyback of up to €1.2 billion.

UniCredit aims to complete the acquisition by the fourth quarter of 2026, after all regulatory approvals are secured. The news has lifted Commerzbank’s share price by about 1.8% on the day of the announcements.
