Poste Italiane cleared by Bank of Italy to acquire Telecom Italia's TimFin stake

The Bank of Italy has issued a preventive authorization allowing Poste Italiane to acquire an indirect qualified participation in TimFin, the holding company of Telecom Italia. This approval removes a key regulatory obstacle for the public offer of acquisition (Ops) that Poste Italiane plans to launch.

With the green light, the next step is the Consob’s review of the offering document, which must be approved within ten days. Once approved, the offer period for Telecom Italia shareholders can begin, moving the transaction toward the final phase of what is expected to be one of Italy’s most significant corporate deals in 2026.

Poste Italiane also announced a change to its upcoming Strategy Update, shifting the focus to the presentation of consolidated financial results for the second quarter and the first half of 2026, rather than a strategic briefing.
