Biogena Group Invest readies merger, capital boost as shares climb
Biogena Group Invest AG, the holding company of the Biogena Group, has appointed a joint merger auditor to examine a possible consolidation with its operational parent, Biogena Good Vibes AG. The review is a preparatory step; no final decision on the merger or share‑exchange terms has been made yet.
The operating subsidiary reported €124.9 million in revenue for FY 2024/25, with an EBITDA of €19.08 million. To fund its growth plans, Biogena Good Vibes completed an off‑market capital increase of up to €25 million and issued a €20 million “Growth Bond III” at a 6.5 % coupon, which was fully over‑subscribed. The bond is earmarked for expanding distribution and production capacity in Austria.
Following these capital measures, Biogena Group Invest’s share price rose 2.86 % to €5.40, approaching its recent high. The company also aims to list its shares on the Vienna Stock Exchange by the end of August, with half‑year results expected to provide further market momentum.
