BitGo acquires NYDIG’s institutional trading business

BitGo has acquired the institutional trading business of NYDIG in a deal valued at approximately $42.5 million. The consideration consists of $7 million in cash and 5,933,577 shares of BitGo stock.

The acquisition includes NYDIG’s spot and derivatives trading, virtual asset management, lending, and loan servicing operations. However, NYDIG’s bitcoin mining and custody businesses are excluded from the transaction. Approximately 30 NYDIG employees and their institutional client relationships will transition to BitGo.

BitGo CEO Mike Belshe stated the move aims to scale the company’s trading and infrastructure capabilities, providing clients with an end-to-end digital asset journey. The deal includes earn-out provisions tied to revenue milestones of $45 million and $70 million by February 2028.

For NYDIG, the sale allows the company to concentrate its resources on power generation, bitcoin mining, and data center development. NYDIG reports possessing over 3 GW of power and computing infrastructure in North America, with plans to add more capacity through 2028.
