Blackstone to acquire Flow Control Holdings from Audax Private Equity

Blackstone has entered into a definitive agreement to acquire Flow Control Holdings (FCH) from Audax Private Equity. The acquisition will be executed through two of Blackstone’s investment vehicles: Blackstone Capital Partners and Blackstone Energy Transition Partners. To support the transaction, Blackstone has secured a first-lien term loan.

Based in Cincinnati, FCH specializes in highly engineered flow-control components, including precision fittings, valves, strainers, and coolant hoses. These components are critical for liquid-cooling stacks used in data centers to manage thermal loads, as well as for sanitary applications in the food, beverage, and pharmaceutical industries. Blackstone executives noted that the move is driven by significant demand for energy-efficient cooling technologies required by AI infrastructure.

Under the terms of the deal, Audax Private Equity will retain a minority equity stake and continue to partner with Blackstone and FCH management. CEO Scott Kerns is expected to remain in his leadership role. The transaction is anticipated to close in the fourth quarter of 2026, subject to regulatory approvals. Financial terms of the acquisition were not disclosed.
