Brazil Approves American Airlines' $100M Investment in Azul

Brazil’s Administrative Council for Economic Defense (CADE) gave unconditional approval for American Airlines to invest US$100 million in Brazilian carrier Azul, acquiring an 8.66% equity stake. The approval includes the right for American Airlines to appoint one member to Azul’s board and to have representation on a strategic committee.

The regulator found no antitrust concerns despite overlapping routes between São Paulo, Rio de Janeiro, Miami and Orlando, concluding that the airlines do not compete closely enough to harm competition. Planned commercial cooperation will expand codeshare agreements, reciprocal frequent‑flyer benefits and shared lounge access. objections from Abra Group, the parent of Gol and Avianca, were rejected, with CADE noting that Azul’s network complements rather than duplicates Gol’s.

The investment is part of American Airlines’ restructuring under Chapter 11 in the United States and will proceed unless appealed.
