Brazil Supreme Court grants ITBI tax immunity to real estate companies

The Brazilian Supreme Federal Court (STF) has ruled that real estate companies are entitled to ITBI (Property Transfer Tax) immunity when transferring real estate to form their own social capital. In a decision with general repercussion, the Court voted 8 to 2 (with one reservation) to establish that a company's predominant activity in buying, selling, or leasing property does not disqualify it from this tax benefit during capital integration.

The ruling addresses the interpretation of Article 156 of the Constitution. While the law provides an exception to immunity for companies whose primary business is real estate, the STF majority, led by rapporteur Justice Edson Fachin, determined that this restriction applies to corporate reorganizations like mergers or spin-offs, rather than the specific act of capital integration. The court noted that the immunity is intended to stimulate economic activity and corporate organization.

Justice Alexandre de Moraes joined the majority but noted that municipalities retain the right to inspect operations to prevent legal fraud. The dissenting justices, Gilmar Mendes and Flávio Dino, argued that the constitutional restriction should apply to capital integration to prevent real estate firms from using the immunity to bypass taxes.
