Brazil Supreme Court sets tax fine criteria and debates ICMS credits
The Brazilian Supreme Federal Court (STF) has established specific criteria regarding fines imposed on companies that distribute profits or bonuses while holding outstanding tax debts. Following a challenge by the Brazilian Bar Association (OAB), the Court ruled by majority that such penalties are constitutional provided certain conditions are met.
According to the criteria, the fine applies only when the tax credit is definitively constituted and registered as federal debt, its enforceability is not suspended, and the debt is not covered by legal guarantees. This ruling, led by Minister Cristiano Zanin and supported by Ministers Alexandre de Moraes and Luiz Fux, aims to prevent automatic penalties and ensure they only apply to formally established, non-guaranteed debts.
In a separate proceeding, the STF has begun debating whether presumed ICMS tax credits granted by states can be taxed by federal PIS and Cofins contributions. The central dispute is whether these incentives constitute new revenue for companies or merely a reduction in state tax expenses. The judgment was suspended without a merit decision and will resume at a later date.
