Brazil's Supreme Court sets criteria for tax debt fines on profit distribution
The Supreme Federal Court (STF) has established specific criteria for imposing fines on companies that distribute profits or bonuses while carrying tax debts. Following the judgment of Direct Action of Unconstitutionality (ADI) 5161, the Court ruled by majority that such penalties can only be applied under certain legal conditions.
According to the criteria, which followed the reasoning of Minister Cristiano Zanin, the fine is applicable only when the tax credit is definitively constituted and registered as active debt with the Union. Additionally, the debt's enforceability must not be suspended under the National Tax Code, and the debt must not be covered by any legal guarantee. These requirements aim to prevent automatic penalties and ensure they are limited to situations where the debt is formally established, enforceable, and lacks collateral.
