BrianzAcque and BEA merger faces regulatory caution

The proposed merger between BrianzAcque and Brianza Energia Ambiente (BEA) to create a public multi-utility for water and waste services in the Brianza region is facing scrutiny. While the project involves 1 billion euros in investments and estimated synergies of 70 million euros through 2041, the Optimal Territorial Area Office (ATO) of Monza and Brianza has issued an unfavorable opinion regarding the second phase of the operation.

The merger is structured in stages, starting with a public holding company overseeing two distinct operating companies: one for water services and one for waste. The second phase would involve incorporating waste activities into BrianzAcque to create a single operating entity. However, the ATO warned that this unification could increase management complexity and risk by combining tariff-regulated activities with market-based activities. The ATO suggested it may be preferable to avoid this second stage.
