BSTR Holdings terminates business combination with Cantor Equity Partners

BSTR Holdings, Inc. has agreed to terminate its business combination agreement with Cantor Equity Partners I, Inc. (Nasdaq: CEPO). The decision to end the merger follows challenging market conditions that have placed significant pricing pressure on Bitcoin and publicly listed Bitcoin treasury vehicles.

As a result of the termination, BSTR faces a $15 million cash obligation. Under the agreement, $10 million is due by September 19, and the remaining $5 million is due by December 1. Failure to meet these deadlines within a seven-day grace period would void specific legal protections and covenant-not-to-sue provisions previously granted by Cantor Equity Partners.

Despite the collapse of the merger, BSTR CEO and co-founder Adam Back stated that the company will continue to pursue active Bitcoin treasury management. The firm intends to focus on institutional-grade investment strategies, including yield and alpha strategies, to generate returns on Bitcoin holdings.
