BT Group acquires TalkTalk and PlatformX in £400m rescue deal
BT Group has acquired TalkTalk Telecommunications Limited and PlatformX Communications Limited out of administration in a rescue deal estimated to have a £400 million cash impact in fiscal 2027. The acquisition was made on a debt-free basis, aimed at preventing the collapse of services for approximately 2.5 million customers, including 1.5 million retail and 1 million wholesale users.
BT cited the need to protect vital national infrastructure and vulnerable households, as TalkTalk’s network supports emergency services, hospitals, and schools. The deal also secures 900 jobs, with all employees expected to transfer to BT.
Culture Secretary Lisa Nandy has intervened via a Public Interest Intervention Notice to ensure the impact on public services is considered. The Competition and Markets Authority (CMA) is conducting a regulatory review and is scheduled to report its findings by October 19. While the takeover increases BT’s dominance in the UK broadband market, regulators are weighing the risks of a total market exit by TalkTalk against potential anti-competitive effects.
