C. H. Robinson to acquire RXO in US$5.8 billion deal

C. H. Robinson, a global logistics provider, has entered into an agreement to acquire RXO, a North American truck brokerage and last-mile delivery company, in a deal valued at approximately US$5.8 billion. The transaction, which consists of both cash and stock, is expected to create a combined enterprise with a total value exceeding US$25 billion.

Under the terms of the merger, RXO shareholders will receive US$17.25 in cash and 0.0856 C. H. Robinson shares for each share held, totaling US$30.25 per share. This represents a 29% premium over RXO’s closing price on October 2, 2026. The deal is expected to close in the first half of 2027. Upon completion, RXO shareholders are projected to own 11% of the combined entity.

C. H. Robinson plans to fund the cash portion of the deal through new debt, supported by a bridge facility from Morgan Stanley Senior Funding. Following the acquisition, RXO will be integrated into C. H. Robinson’s North American Surface Transportation division.

In recent financial disclosures, Venture Visionary Partners LLC also established a new position in C. H. Robinson Worldwide, purchasing 26,510 shares valued at approximately $3,922,000.
