Emera and Canadian Utilities announce $72 billion merger deal

Emera and Canadian Utilities have announced a definitive agreement to merge, creating one of North America’s largest utility companies. The transaction is expected to result in a combined entity with an estimated enterprise value of approximately $72 billion and a rate base of roughly $45 billion, serving about six million customers.

The deal involves an all-share arrangement. Existing Emera shareholders are expected to own approximately 60% of the combined company. ATCO shareholders will receive 0.865 Emera shares and one share of a newly created public company, New ATCO, for every existing ATCO share. New ATCO will focus on industrial services, including housing, defence, and investment holdings.

The merged entity will operate under the Emera name and manage 12 regulated utilities. While the public company headquarters will remain in Halifax, Canadian Utilities will maintain corporate and operational headquarters in Calgary and Edmonton. The companies aim to complete the merger in the second half of 2027, subject to shareholder, court, and regulatory approvals.
