Canopy Growth adjourns shareholder meeting due to lack of quorum

Canopy Growth Corporation has adjourned its 2026 Annual General and Special Meeting of shareholders due to a lack of a required quorum. Under Nasdaq listing rules and company by-laws, at least 33 1/3% of outstanding shares entitled to vote must be represented in person or by proxy to conduct business.

The meeting is scheduled to reconvene on Friday, October 23, 2026, at 1:00 p.m. ET via a live audio webcast. Shareholders have until 9:00 a.m. ET on that day to submit their votes. The company will continue to solicit votes regarding the proposals outlined in its August 7, 2026, proxy statement during the adjournment period.

One of the key items on the ballot is a proposed share consolidation. Other proposals include the election of five directors and the appointment of MNP LLP as auditor. Shareholders of record as of the close of business on July 31, 2026, remain eligible to vote, and those who have already submitted proxies do not need to vote again.
