Capital Markets Board issues new investment fund and share sale regulations
The Capital Markets Board (SPK) has issued comprehensive new regulations targeting investment funds, portfolio management companies, and share sales to enhance market transparency and investor protection.
Key changes include a new cap on the number of hedge funds a company can issue, which will now be limited by the number of portfolio managers employed by that firm. To increase financial resilience, the SPK has set new minimum capital requirements for 2027: 500 million TL for highly authorized portfolio management companies and 250 million TL for those with limited activities. Existing companies have until June 30, 2029, to comply with these limits.
Additionally, the regulations introduce stricter limits on share sales conducted outside of the stock exchange. For companies with a free float ratio above 50%, the sale of more than 2% of shares or voting rights within a 12-month period will require SPK approval via a share sale information form. For companies with a free float of 50% or less, this limit is set at 4%.
In separate news, Halkbank has officially applied to the SPK for a secondary public offering aimed at increasing its capital by 25%, raising it from approximately 7.18 billion TL to 8.98 billion TL.
