Copart to acquire ACV in $1.9 billion vehicle remarketing deal

Copart, Inc. has entered into a definitive agreement to acquire ACV in a cash transaction valued at approximately $1.9 billion. Under the terms of the deal, Copart will purchase all outstanding ACV common stock for $10.50 per share, representing a significant premium over ACV’s recent trading prices.

The acquisition aims to create a digital, end-to-end vehicle remarketing platform by integrating ACV’s digital wholesale platform for vehicle resale with Copart’s existing physical infrastructure and global buyer network. The deal has received unanimous approval from the boards of both companies and is expected to close by the end of 2026, pending regulatory approvals and a successful tender offer.

In its fiscal 2026 fourth-quarter results, Copart reported a 2.4% increase in revenue to $1.2 billion, though net income fell 17.4% to $327.4 million. The company noted that a large stock repurchase program of $1.63 billion during the fiscal year contributed to the decline in net income by reducing interest income.
