Charter Communications Sets Pricing for $2 B Debt Exchange Offer
Charter Communications and its subsidiaries announced the pricing terms for the previously disclosed private debt exchange, known as the Pool 1 Offer. The offer will allow holders of seven series of existing notes issued by Charter Communications Operating, LLC, Charter Communications Operating Capital Corp., and Time Warner Cable, LLC to exchange them for a combination of cash and new senior secured notes due 2038, with a total issuance cap of $2 billion.
The pricing table lists exchange yields ranging from roughly 5 % to a high of 7.386 %, with cash components and early‑exchange premiums specified for each series. The exchange must be tendered by 5:00 p.m. New York City time on August 5 2026 to be accepted.
