Cipher Digital announces $850 million convertible notes offering
Cipher Digital Inc. (CIFR), a Nasdaq-listed industrial-scale data center developer and operator, has announced an $850 million offering of 0.00% convertible senior notes due 2032. The offering is an exempt transaction for qualified institutional buyers under Rule 144A.
In conjunction with the new debt, the company entered into exchange agreements to swap approximately $165.9 million of its existing 1.75% convertible senior notes due 2030 for roughly 40.7 million shares of common stock. Sidley Austin LLP provided legal representation for the company during these transactions, which included privately negotiated capped call transactions.
Following these announcements, Cipher Digital's stock experienced a significant decline, falling approximately 25.7% in a single week. Market analysts suggest the sell-off was driven by concerns over compounding dilution resulting from both the new convertible debt and the immediate issuance of common shares to retire existing obligations.
