CleanSpark closes $2.276 billion in senior secured debt financing

CleanSpark has completed a $2.276 billion debt financing through its wholly owned subsidiary, CSDC Finance I, LLC. The transaction consists of senior secured notes with an interest rate of 7.875% and a maturity date set for 2031.

The company intends to use the proceeds to expand its data center infrastructure and refinance existing credit facilities. This capital injection supports CleanSpark’s broader strategy of managing power contracts, substations, and large-scale data center campuses, which serve both Bitcoin mining and high-performance computing needs.

The notes were placed with qualified institutional buyers under Rule 144A, meaning they are not registered under the U.S. Securities Act of 1933 and are subject to specific sale restrictions within the United States.
