Copart completes acquisition of ACV Auctions
Copart, Inc. has successfully completed its acquisition of ACV Auctions Inc. through a cash tender offer of $10.50 per share. The transaction, which was initially announced on September 10 with an implied equity value of approximately $1.9 billion, concluded following the expiration of the tender offer on October 15.
By the deadline, 116,818,409 ACV shares—representing roughly 68.43% of outstanding stock—had been validly tendered. Remaining shares were converted into the right to receive $10.50 in cash per share. ACV has ceased trading on the New York Stock Exchange and will now operate as a wholly owned subsidiary of Copart under its existing leadership team.
Copart CEO Jay Adair described the acquisition as “an important milestone” that establishes an industry-leading remarketing platform. The merger integrates ACV’s dealer-to-dealer digital marketplace, inspection technology, and valuation tools with Copart’s existing salvage disposition and international resale operations. Copart projects the deal will be neutral to earnings per share in its first full year and accretive starting in fiscal 2028.
