CrediaBank approves absorption of Evropi Holdings

CrediaBank shareholders have unanimously approved the merger via the absorption of Evropi Holdings, the parent company of Evropi Insurance and NAK Brokers. The transaction is structured as an all-stock deal, with CrediaBank issuing approximately 212.26 million new shares. Following the merger, existing CrediaBank shareholders will hold 90.386% of the new share capital, while Evropi Holdings shareholders will hold 9.614%.

The merger, which received approval from the Competition Committee and regulatory authorities, is expected to be completed within five months of its initial announcement. Financial projections suggest the deal will enhance CrediaBank’s earnings per share by approximately 8% by 2027 and improve the common equity tier 1 ratio by 100–120 basis points.

This move is part of CrediaBank’s broader strategy to evolve into a diversified financial group. Following the recent acquisition of 70% of Pantelakis Securities, the bank’s next major strategic milestone is the scheduled acquisition of HSBC Malta, which is expected to be finalized by the second quarter of 2026.
