Curaleaf launches takeover bid for Aurora Cannabis
Curaleaf Holdings has launched an unsolicited takeover bid for Canadian medical cannabis retailer Aurora Cannabis, valuing the company at approximately $260 million. Under the proposal, Aurora shareholders would receive 0.3463 Curaleaf shares and $0.75 in cash per share, totaling $4 per share, with a potential cap of $5 per share if Curaleaf's stock reaches a specific level.
Aurora Cannabis has responded to the bid, characterizing it as a “hostile bid” and cautioning shareholders to take no action. Aurora's CEO, Miguel Martin, stated that the move is a “transparent attempt to pressure Aurora shareholders into making a short-term decision” to acquire Aurora's European manufacturing facilities and global medical footprint at a low price. Aurora's Board of Directors and a Special Committee are currently reviewing the proposal.
The potential consolidation comes amid discussions regarding the rescheduling of marijuana from Schedule I to Schedule III in the United States, a move that could impact tax write-offs and encourage further mergers and acquisitions within the sector.
