Curium to Acquire Lantheus in $8 Billion All‑Cash Deal

Curium US Holdings LLC has agreed to purchase all outstanding shares of Lantheus Holdings Inc. for $102.50 in cash per share, with additional non‑transferable contingent value rights that could provide up to $12.00 per share if specified commercial milestones are met by 2030. The total potential consideration reaches $114.50 per share, valuing the transaction at up to $8 billion and representing a 38% premium to Lantheus' 60‑day volume‑weighted average price.

The deal, approved unanimously by Lantheus' board, will take the Nasdaq‑listed company private and is expected to close in the first half of 2027, subject to regulatory clearance and shareholder approval. The combined entity will integrate Curium's theranostics platform and global manufacturing capabilities with Lantheus' U.S. radiodiagnostics business, serving oncology, neurology and cardiology patients in more than 70 countries.

Curium CEO Renaud Dehareng and Lantheus executive chair and CEO Mary Anne Heino highlighted the transaction as a validation of Lantheus' seven‑decade legacy and a strategic move to broaden patient access to advanced radiopharmaceutical diagnostics and therapeutics.
