Dentsu Group to form joint venture with Itochu Corporation

Dentsu Group has announced that Dentsu Soken will become a joint venture between Dentsu Group and VIC, a company formed by Itochu Corporation. This transition follows a tender offer initiated by VIC. If successful, Dentsu Soken will be delisted from the Tokyo Stock Exchange and will operate as a consolidated subsidiary of Dentsu Group while being jointly owned by Dentsu and VIC.

As part of this restructuring, Dentsu Soken will enter into a business alliance with Itochu Techno-Solutions (CTC). The move aims to strengthen Dentsu Japan’s digital transformation (DX) and retail media capabilities by combining Dentsu Soken’s consulting expertise with the Itochu Group’s customer base and CTC’s IT infrastructure. The collaboration will also focus on advancing AI solution development and leveraging retail data through Itochu Group’s extensive store networks.

Dentsu Group expects this change to enhance governance and enable faster decision-making for long-term growth investments. The company anticipates a negligible impact on its consolidated financial results for the fiscal year ending December 2026.
