Deutz shareholders approve capital increase for FFG acquisition

Deutz shareholders have approved a capital increase through contribution in kind with approximately 99.7 percent approval during an extraordinary general meeting. This move facilitates the acquisition of FFG Flensburger Fahrzeugbau, a transaction valued at approximately 1.6 billion euros.

As part of the deal, the former owner families of FFG will become anchor shareholders in Deutz, taking up to a 29.9 percent stake. This structure allows Deutz to settle the purchase price using a combination of cash and newly issued shares. The completion of the transaction is targeted for late 2026 or the first quarter of 2027.

FFG employs around 1,100 people and reported revenue of approximately 760 million euros in 2025. Analysts at Warburg Research have raised their price target for Deutz from 13.20 to 19.00 euros, citing potential synergies between the defense sector and traditional engine manufacturing.
