Digi Spain sets IPO price at €5.60, valuing the subsidiary at €1.66 bn
Digi Spain Telecom, the Spanish arm of Digi Communications, announced that its initial public offering will be priced at €5.60 per share. The price implies a post‑offering market capitalisation of roughly €1.662 billion.
The offer consists of a primary tranche of 26.8 million newly‑issued shares worth about €150 million and a secondary tranche of 24.5 million existing shares sold by Digi Romania for around €137 million, for a base placement of €287 million. An over‑allocation option allows up to an additional 7.7 million shares (15% of the base) to be bought by the stabilising coordinator, potentially raising the total to about €330 million.
Funds are earmarked for expansion of Digi’s “Smart Footprint” in Spain, including new fibre‑to‑the‑home deployments and mobile‑network build‑out, while the company intends to keep debt levels prudent. The IPO is pending approval of the prospectus by Spain’s CNMV and trading is expected to begin on 16 July 2026 on Spanish exchanges. Digi Romania will retain at least an 80% stake after the transaction, and lock‑up agreements bind the seller and senior management for 180‑360 days. No dividend distribution is planned until 2030.
