Digital Brands Group launches strategic review and explores sale options

Digital Brands Group, Inc. (DBGI), an Austin‑based e‑commerce and apparel portfolio company, announced a strategic review of alternatives to maximize shareholder value. The review will consider options such as a sale, merger or other financial transaction, though no deadline or guarantee of a deal was set. The company highlighted recent shareholder concerns involving alleged collusion, violations of the 4.99 % ownership rule, foreign silent partners and transfer‑agent discrepancies.

Earlier, DBGI completed a 1‑for‑40 reverse stock split to maintain Nasdaq compliance, after which its shares rose 17.8 % to $17.80 on August 3. Roth Capital Partners has been retained as the financial advisor for the review process.
