Ecopetrol acquires 51% controlling stake in Brava Energia for US$ 1.2 billion

Ecopetrol has finalized its acquisition of a 51% controlling interest in the Brazilian oil and gas company Brava Energia S.A. The transaction, valued at approximately US$ 1.2 billion, was executed through Ecopetrol Investimentos do Brasil LTDA.

The acquisition was completed in two main stages: a voluntary tender offer on the B3 stock exchange in Brazil, which secured approximately 25% of the company, and a private share purchase agreement for an additional 26%. The deal was financed via an intercompany loan from Ecopetrol Capital AG.

Through this acquisition, Ecopetrol significantly expands its upstream presence in Brazil. Brava Energia brings a substantial portfolio to the group, including estimated proved reserves (1P) of 459 million barrels of oil equivalent (mmboe) and proved plus probable reserves (2P) of 605 mmboe. For the first half of 2026, Brava reported an average production of approximately 78,800 barrels of oil equivalent per day, rising to 84,400 boed in June.

Financial data for Brava Energia for the 12 months ending June 30, 2026, shows unaudited revenue of approximately US$ 2.34 billion, an EBITDA of US$ 1.05 billion, and a net income of US$ 122.2 million. Ecopetrol has scheduled a conference call for August 25, 2026, to discuss the transaction.
