YPF to sell Metrogas and MetroEnergía stake to Edenor for US$780 million

YPF has announced the acceptance of an offer from Edenor to purchase its majority stake in Metrogas and its interest in MetroEnergía for US$780 million. The deal involves the transfer of 70% of Metrogas's capital and voting rights, as well as a 5% stake in MetroEnergía.

The sale was the result of a competitive bidding process facilitated by Citigroup, which included five final bidders. Edenor is controlled by the Edelcos consortium, comprising businessmen José Luis Manzano, Daniel Vila, and Mauricio Filiberti. Manzano already holds a 9.23% stake in Metrogas through Integra Gas Distribution.

YPF stated that this divestment is part of a strategic portfolio optimization aimed at concentrating resources and investments on the development of the Vaca Muerta shale formation. The transaction remains subject to several conditions, including necessary regulatory approvals from the Ente Nacional Regulador del Gas y la Electricidad (ENRGE).
