Elon Musk weighs $3.5 trillion SpaceX and Tesla merger

SpaceX and Tesla are exploring a potential merger or acquisition that could create a combined entity valued at approximately $3.5 trillion. According to SpaceX’s October 22 SEC filing, any such combination would require approval from the company’s special committee, its board of directors, and its controlling shareholder, Elon Musk, who holds roughly 85% of the voting power.

Both companies formed special committees on October 20 to evaluate the proposal. The deal structures under consideration include a direct acquisition of Tesla by SpaceX or a merger under a new holding company, with an all-stock transaction being one option under review.

Musk has publicly endorsed the deal, a move that insiders suggest has complicated the independent negotiation process for the special committees. Critics have noted that these circumstances mirror the 2016 Tesla acquisition of SolarCity, which faced scrutiny regarding Musk’s influence. For the merger to proceed, Tesla shareholders must meet a high threshold, requiring approval from more than 50% of all outstanding shares. A vote is expected to take place around Tesla’s annual meeting on December 3.
