EQT to acquire Range Resources in $13 billion merger

EQT Corporation has announced a definitive agreement to acquire Range Resources Corporation in an all-stock transaction valued at approximately $13 billion. The merger, which is expected to close in the first quarter of 2027 subject to regulatory and shareholder approval, will create the largest natural gas producer in the United States, with a pro forma enterprise value exceeding $50 billion.

The combined entity will focus its operations primarily in the Appalachian Basin, specifically the Marcellus Shale. The merger is expected to result in a net production of over 9 billion cubic feet of natural gas equivalent per day, supported by nearly 3 million net acres and 3,700 miles of midstream infrastructure. The companies anticipate approximately $325 million in annual cost savings.

Industry analysts and executives suggest the deal is positioned to capitalize on surging natural gas demand driven by liquefied natural gas (LNG) exports to Europe and Asia, as well as the increasing power requirements of artificial intelligence (AI) data centers. Under the terms of the deal, Range Resources shareholders will receive 0.987 shares of EQT stock for each share held. EQT shareholders will own approximately 73% of the combined company, while Range shareholders will hold 27%.
