EU Inc reform faces warnings from tech leaders over potential dilution
European tech leaders, including startup founders and investors, have issued a warning regarding the proposed EU Inc initiative. The group argues that the landmark reform, designed to create a common corporate framework across all 27 Member States, must not be diluted during final negotiations between the European Parliament and Member States.
The proposal aims to reduce friction and fragmentation by allowing businesses to incorporate under a single statute, offering digital incorporation within 48 hours and a European employee stock-option scheme. Signatories emphasize that the initiative must allow founders to choose a registered office in any Member State without requiring local operations to ensure it becomes an economic engine rather than a redundant layer of bureaucracy.
Complementing the legislative push, legal analysis suggests that the success of such specialized corporate frameworks depends on more than just legal structure. To ensure predictability and speed, specialized business courts may require robust verification tools—similar to those used in Delaware—to effectively screen claims and verify the integrity of internal corporate processes, such as special committees and shareholder votes.
