European Commission investigates XXXLutz acquisition of Porta

The European Commission has launched an in-depth investigation into the proposed acquisition of the German furniture group Porta by the Austrian retailer XXXLutz. A preliminary probe suggested the merger could harm competition in Germany, the Czech Republic, and Slovakia, potentially leading to higher prices and reduced consumer choice.

Beyond retail competition, the Commission is examining risks to the procurement markets in Germany, the Czech Republic, Slovakia, and Poland. There are concerns that XXXLutz, which already possesses significant purchasing power through the GIGA International buying group, could increase supplier dependency by absorbing Porta brands, which currently serve as alternative buyers.

The investigation also addresses whether the companies violated EU rules by failing to notify the Commission promptly. While the transaction was publicly known in early 2025, it was not formally reported until September 7. The Commission has until February 25, 2027, to reach a final decision. XXXLutz has stated that the employment contracts for 6,000 Porta employees are expected to remain unchanged.
